TERMS AND CONDITIONS

1. AGREEMENT
These Terms and Conditions ("Terms") govern
your use of services provided by AI For Impact In Africa Ltd ("AFI Africa," "we," "us," "our"), a
company registered in Rwanda.

2. SERVICES PROVIDED
AFI Africa provides business automation solutions including AI chatbots, WhatsApp automation, booking systems, and workflow automation using third-party platforms.
3. PAYMENT TERMS
- All fees are quoted as agreed in the contract.
- Setup fees: 50% due upon contract signing, 50% due upon delivery
- Monthly maintenance fees begin after implementation
- Payment due within 7 days of invoice
- Late payments incur 5% monthly penalty
- All purchases are non-refundable after work begins
Payment methods accepted: Bank transfer, mobile money (MTN/Airtel), credit/debit cards
4. CLIENT RESPONSIBILITIES
Client agrees to:
- Provide timely access to required platforms (WhatsApp Business API, Google Workspace, etc.)
- Respond to information requests within 48 business hours
- Complete testing within agreed timelines
- Maintain active subscriptions to required third-party services
5. THIRD-PARTY DEPENDENCIES
Our services integrate with platforms including WhatsApp Business API, Google Workspace, and automation tools. We are NOT responsible for:
- Third-party service outages or interruptions
- Changes to third-party pricing, terms, or functionality
- Data loss from third-party platform issues
- Third-party API limitations or restrictions
6. NO GUARANTEES
While designed to improve efficiency, we make
NO guarantees regarding revenue outcomes, conversion rates, or specific business results. Results depend on factors beyond our control.
7. INTELLECTUAL PROPERTY
- AFI Africa retains ownership of workflow templates and frameworks
- Client receives non-exclusive license to use implemented solutions
- Client owns all data processed through systems
- Neither party may use the other's trademarks without permission
8. CONFIDENTIALITY
Both parties agree to keep proprietary information confidential during and after the engagement.
9. LIMITATION OF LIABILITY
Our maximum liability is limited to total fees paid by Client in the 12 months prior to claim. We are not liable for indirect, incidental, or consequential damages.
10. SUPPORT
- Email support: 24-hour response during business days (Mon-Sun)
- Critical bugs: 48-hour resolution target
- Scheduled maintenance may cause temporary interruptions with 24-hour notice
11. TERMINATION
Either party may terminate with 30 days written notice. Client remains responsible for all fees incurred prior to termination.
12. SERVICE AVAILABILITY
Services provided "AS IS" and "AS AVAILABLE."
We do not guarantee uninterrupted service and
are not liable for downtime caused by maintenance, technical issues, or third-party failures.
13. PROHIBITED ACTIVITIES
Client may not:
- Resell or redistribute our services without permission
- Reverse engineer our workflows or systems
- Use services for illegal purposes
- Violate third-party terms of service
14. GOVERNING LAW
These Terms are governed by the laws of Rwanda. Any disputes shall be resolved in Rwandan courts with jurisdiction in Kigali.
15. DISPUTE RESOLUTION
Parties agree to attempt informal negotiation for 30 days before pursuing legal action.
16. MODIFICATIONS
We may update these Terms at any time. Continued use of services after changes constitutes acceptance.
17. ENTIRE AGREEMENT
These Terms constitute the entire agreement between parties and supersede all prior agreements.
